Terms and Conditions

USER AGREEMENT

In using this website and the mobile app (defined as “Site) you are deemed to have read and agreed to the following Terms and Conditions (also referred to as the User Agreement) between you the user and Sidekick to Hero, a DBA of Angeloey Investments LLC, a Utah limited liability company (“Sidekick to Hero”):

Your use of this Site (and any associated mobile applications, called Mobile App) constitutes your agreement to all such terms, conditions, and notices in effect at such time. This User Agreement may be updated periodically on our Site without notice. By continuing to use our Site, you agree to be bound by this User Agreement and any subsequent updates. Any updated User Agreements or changes shall become a part of this User Agreement and shall apply as soon as they are posted. The most current version of the User Agreement can be viewed at any time at sidekicktohero.com. Any new features or functionality that augment or enhance our Site shall be subject to this User Agreement, unless explicitly stated otherwise.

This Site Does Not Give Medical Advice

The Site does not contain medical advice; the information provided is for educational purposes only. The information taught in Sidekick to Hero is not a substitute for professional advice such as a medical doctor, psychiatrist, or state licensed counselor. The information provided by Sidekick to Hero does not constitute legal or professional advice nor is it intended to be. The Sidekick to Hero coaches are not trained to diagnose, treat, counsel or advise anyone on any conditions such as mental health issues or similar problems. Coaches are not medical or mental health professionals.

Any decisions you or your child make, and the consequences thereof, are your own. Under no circumstances can you hold Sidekick to Hero liable for any actions that you take; the coaching services provided are to help guide you and your child in your own personal decisions. You agree not to hold Sidekick to Hero, or any future employees or coaches within the Angeloey Investments LLC liable for any loss or cost incurred by you, or any person related or associated with you, as a result of materials, techniques, or coaching offered by Sidekick to Hero. Our coaches are not homeopathic medicine trained or certified. By signing up for the program, you are stating you understand these facts.

The information you learn or that are expressed during coaching sessions is intended to be general information with respect to common life issues. They have not received any training as a counselor or therapist. Your coach cannot help you with anything outside the scope of general information with respect to common life issues.

Sidekick to Hero makes no warranties or representations of any kind, express or implied and all of the information and products for sale are presented “AS IS” and there are no guaranteed results. Sidekick to Hero may use testimonial and user experiences on the Site and in marketing materials. Individual results may vary, and a positive result of a user may not be typical or guarantee an individual user’s result.

Subscriptions:

Users may subscribe to two basic plans. The basic plan (“Hero Plan”) includes access to all training videos, challenge features, XPs and monthly prize drawings, a customizable avatar, weekly livestreams, replays, limited free private coaching with a professional coach, where the replays will be posted based on first come first serve basis.

The premium plan (“Super Hero Plan”) includes one private 25-minute call with one of the Sidekick to Hero professional coaches. These calls must be used in the calendar month and are forfeited if not used. They do not roll over to the next month.

Private coaching calls in the Super Hero plan are not guaranteed and are based on coach availability. We will do our best to ensure we have enough coaching slots for the teens enrolled, but if teens wait too long in the month to schedule a call, you may miss out on availability. If a teen has a call scheduled and is not available, the teen forfeits the call and may not reschedule.

By signing up for this service, you are subscribing to our email list to get important member reminders, announcements, and newsletter. You can unsubscribe at anytime.

Payments for subscriptions are processed through Stripe. There may be a two-week trial period, but generally credit cards are billed the day you subscribe and will be billed on the anniversary date of the subscription each month. In the case of the free trial, it would be after the free trial ends.

Subscribers may cancel at any time and finish out their subscription benefits for the current month. Cancellations must be made prior to the scheduled monthly billing date. Cancellations may be made by clicking the cancel button in the account information section of the Site.

No refunds will be given under any circumstances. Parents and teens are paying for a coaching service and there is no warranty or guaranteed results from the coaching.

Coaching Calls:

Private and group calls are where teens make monumental breakthroughs and experience personal growth. In order to facilitate an environment where teens feel safe and can open up and share feelings and have coaches or teens engage and help point them in a positive direction. Content and information shared by the teen in the private calls will not be shared with parents. The teen’s likeness, image and name may be used in the call or in subsequent replays and participants acknowledge Sidekick to Hero has the right to use a teen’s likeness, image and name.

If the coach, in the coach’s discretion, feels that there is the potential for self-harm or harm of another person, the coach will attempt to contact the parent or guardian on the primary account via telephone. If no one can be reached then the local authorities may be notified, which may result in a wellness check or site visit. This is not the same as a licensed therapist’s duty to report, this is done as an act of human compassion. We reserve the right to disclose information to mental health providers or the police if coaches believe the teen or anyone else might be at risk. This is based on Sidekick to Hero’s sole discretion. Sidekick to Hero is not a suicide prevention organization and refer all families to dial "988" in case of a mental health emergency.

Calls may be recorded for quality and training purposes. Video calls may be recorded by coaches with Zoom. These videos are used by Sidekick to Hero exclusively to review conversations, and for quality and training purposes. They will be considered confidential information unless for any reason Sidekick to Hero is required by law to turn them over to a court or authorized officials.

Sidekick to Hero may use some discussions on group or private calls as inspiration for podcast episodes, social media posts, or emails to our list, but will always maintain your anonymity.

Calls in the Hero plan may be recorded and available for replay to help other teens see real world examples. Teens viewing the replay may not share or screenshot recorded calls. Sidekick to Hero will use best efforts to see that teens respect the privacy and vulnerability, but Sidekick to Hero acknowledges there is a risk and potential a viewer could violate this policy and share. Any such action by a teen will result in immediate expulsion from the program.

Sidekick to Hero retains ownership of intellectual property. That means that any tools, materials, or other resources that Sidekick to Hero provide to guide in coaching remains the property of Sidekick to Hero. Material may be used for your own personal development but it may not be copied and distributed in any manner, publicly displayed, modified, used as the basis for derivative works, or used for any commercial purpose.

Earning Rewards:

To help motivate teens to make personal progress and develop life skills, Sidekick to Hero has a points program to qualify to earn rewards. Rewards are given to participants who display skilled work and perform activities and exercises directly related to their growth and development.

Use of the Sidekick to Hero Site:

In continuing to use our Site you are agreeing to abide by the terms, conditions and notices set forth below. Sidekick to Hero reserves the right to terminate Site use for any violations of this Agreement.

As part of your use, you agree to not use the Sidekick to Hero Site to:

upload, post, publish, email, reproduce, distribute or otherwise transmit any information, data, text, music, sound, photographs, graphics, video, messages or other materials that are unlawful, harmful, threatening, embarrassing, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, deceptive, fraudulent, contain explicit or graphic descriptions or accounts of sexual acts, invasive of another's privacy, or hateful. Sidekick to Hero is not responsible for any such content. Therefore Sidekick to Hero and or any OFFICERS, DIRECTORS, AFFILIATES, EMPLOYEES, ATTORNEYS, MEMBERS, SUCCESSORS AND AGENTS are not liable for such content.
“stalk” another user or other individuals in general;
upload, post, publish, email, reproduce, distribute or otherwise transmit any content that victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
harm minors in any way;
impersonate any person or entity, including, but not limited to, a Sidekick to Hero officer, or other employee, or falsely state or otherwise misrepresent your affiliation with a person or entity;
upload, post, publish, email, reproduce, distribute or otherwise transmit any copyrighted content from other websites;
forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted to or through the Sidekick to Hero Site;
upload, post, publish, email, reproduce, distribute or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "Spam," "chain letters," "pyramid schemes," or any other form of solicitation;
upload, post, publish, email, reproduce, distribute or otherwise transmit any material that contains software viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment or any other similarly destructive activity, or surreptitiously intercept or expropriate any system, data or personal information;
act in a manner that negatively affects other users' ability to use the functionality of the Sidekick to Hero Site;
interfere with or disrupt our Site or servers or networks connected to our Site, or disobey any requirements, procedures, policies or regulations of networks connected to our Site; or;
intentionally or unintentionally violate any applicable local, state, national or international law.

You also agree that you will not harvest, collect or store information about the users of our Site or the content posted by others on our Site or use such information for any purpose inconsistent with the purpose of our Site or for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic mail or communications.

NOTICE TO THIRD PARTY SITES: Any content made available in connection with your site, or otherwise, by our Widgets, third party widgets or otherwise is our exclusive property and no grant of any intellectual property rights is made by us. We retain the right to demand that you cease any use of our content upon notice.

Our Site (including, without limitation, all text, photographs, graphics, video and audio content) is protected by copyright as a collective work or compilation under the copyright laws of the United States and other countries. All individual articles, content and other elements comprising our Site are also copyrighted works. You must abide by all additional copyright notices or restrictions contained in our Site. As between Sidekick to Hero and you, Sidekick to Hero is the sole owner of all content comprising our Site, including without limitation, all applicable U.S. and non-U.S. copyrights, patents, trademarks, and trade secrets, and other intellectual property rights thereto. You acknowledge and agree that you will not, directly or indirectly, contest, challenge, aid or abet in contesting or challenging our ownership of such content, or take any action whatsoever in derogation of our rights therein. You acknowledge and agree that you will not acquire or claim any rights in our Site, or aid or abet anyone else in doing so.

Unless expressly permitted, you may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of our Site, except that you may download material from our Site for your own personal use as follows: you may make one print copy that is limited to occasional articles of personal interest only. Without limiting the generality of the foregoing, you may not distribute any part of this Site over any network, including, without limitation, a local area network, nor sell or offer it for sale. In addition, these files may not be used to construct any kind of database.

You agree that the Mobile Features for which you are registered may send communications to your mobile device regarding us. Further, we may collect information related to your use of the Mobile Features. If you have registered for Mobile Features, you agree to notify us of any changes to your mobile number and update your account(s) on our Site to reflect this change.

Our Liability to You is Limited: Sidekick to Hero, Inc. and its affiliates, and their respective members, directors, officers, managers, employees, shareholders, agents, successors, and licensors are not liable for incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, including, without limitation, lost revenues or profits, loss of business or loss of data, in any way related to our Site or for any claim, loss or injury based on errors, omissions, interruptions or other inaccuracies in our Site. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, Sidekick to Hero’s liability shall be limited to the extent permitted by law. Any claim against us shall be limited to the amount you paid, if any, for use of our Site. We have no special relationship with or fiduciary duty to you.

You agree that in the event you incur any damages, losses or injuries that arise out of our acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing any exploitation of our Site, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of our Site or other materials owned or controlled by us.

By accessing our Site, you understand that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such wavier, you acknowledge that you have read and understand, and hereby expressly waive, the benefits of Section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides as follows: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”

You Agree to Indemnify Us Based on Your Use of the Site: You agree to indemnify and hold harmless Sidekick to Hero and its affiliates, and their respective members, directors, officers, managers, employees, shareholders, agents, successors, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from or relating to any use or misuse by you of our Site, including without limitation our email publications and/or website, or any violation by you of this User Agreement or any breach by you of your representations and warranties hereunder. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as is reasonably requested by us.

The Provisions of this User Agreement are Severable; This User Agreement Constitutes Our Entire Agreement: If any part of this User Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. This User Agreement, together with our Privacy Policy, constitutes the entire agreement between you and us with respect to our Site, including use of our email publications and/or website, and supersedes all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and us with respect to our Site. Any failure by us to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.

You May Not Assign This User Agreement: You shall not transfer, assign, sublicense nor pledge in any manner whatsoever, any of your rights or obligations under this User Agreement. Sidekick to Hero may transfer, assign, sublicense or pledge in any manner whatsoever, any of its rights and obligations under this User Agreement to a subsidiary, affiliate, or successor thereof or to any third party whatsoever, without notifying you or receiving your consent.

Certain Territorial Restrictions May Apply to Your Use of Our Site: Our Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. We control our Site from offices located in the United States and makes no representations or warranties that the information, products or services contained in our Site are appropriate for use or access in other locations. Anyone using or accessing our Site from other locations does so on their own initiative and are responsible for compliance with United States’ and local laws regarding online conduct and acceptable content, if and to the extent such local laws are applicable. We reserve the right to limit the availability of our Site to any person, geographic area, or jurisdiction, at any time and in our sole discretion.

Any Dispute Between Us Will Be Governed by Utah Law: This User Agreement shall be governed by the laws of the United States and the State of Utah applicable to agreements made and to be performed therein without regard to conflict of laws principles. You expressly agree that exclusive jurisdiction for any claim or dispute with Sidekick to Hero or relating in any way to your use of our Site resides in the courts of the United States located in the District of Utah or any state court located in Salt Lake County, Utah AND WAIVE ANY RIGHT TO RESORT TO ANY FORM OF CLASS ACTION. Any cause of action or claim you may have with respect to our Site must be commenced within one (1) year after such claim or cause of action arises.

The caption to each paragraph of this User Agreement is for convenience of reference only and shall be ignored in the construction or interpretation hereof.

ANGELOEY INVESTMENTS LLC and its DBA Sidekick to Hero (“Sidekick to Hero”) respect your concerns about privacy and have developed this Privacy Policy to demonstrate its commitment to protecting your privacy. This Privacy Policy is intended to describe for you, as an individual who is a user of the sidekicktohero.com website (“Site”) and associated mobile applications, which link to this policy (unless otherwise specified) or our services, or otherwise provide us with information through various collection means, how that information may be used, with whom it may be shared, and your choices about such uses and disclosures.

By using our Site, you accept this Privacy Policy. Please read this Privacy Policy carefully when using our website or services or transacting business with us.

Collected Information:

We may collect personal information that can identify you, such as your name and email address, and other information that does not identify you. The personal information you provide may be sent to servers located in the United States and other countries around the world.

• We may collect and store any personal information you enter on our website or provide to us in some other manner. This includes identifying information, such as your name, address, e-mail address, telephone number, bio, photograph, fitness profile, and other personally identifiable information.

• We may also periodically obtain both personal and non-personal information about you from other business partners, contractors and other third parties. Examples of information that we may receive include: updated delivery and address information, purchase history, and additional demographic information.

• We may record coaching sessions with your (or your child’s) name, likeness and image associated with a coaching session or group discussion.

Sidekick to Hero wants to give you the best possible experience when you visit our Site. We like to constantly update and improve the features on our Site, to personalize your browsing and shopping experience and to recognize you when you return to our Site. We have a variety of ways of doing this.

We collect information about how you use our Site by setting and accessing cookies on your computer. A cookie is a small data file that identifies the web browser on a particular computer. No personal information is stored in the cookie itself. When you visit our Site, a cookie will be sent to your browser and then stored on your computer's hard drive. • When you elect to engage in a particular coaching program, you authorize us to provide your email address and other information to that coach and for use with Sidekick to Hero. • Telephone/Email/Messaging. We may contact you by telephone and/or email and/or messaging provided to connect coaches.

Other Situations. We also may disclose your information:

Sidekick to Hero is especially designed to help teens over 13. There are some limited services available to children under 13, but they are limited in the ability to use Site and its features. Sidekick to Hero does not knowingly collect personal information from children under the age of

13 unless that information is stored in an account of an authorized parent or guardian. If we learn that we have collected personal information on a child under the age of 13, without an associated parent or guardian account, we will delete that data from our systems. Sidekick to Hero encourages parents and guardians to go online with their children. Here are a few tips to help make a child's online experience safer:

• Teach children never to give personal information (such as name, address, phone number, school, etc.) unless supervised by a parent or responsible adult.
